Wholesale Agreement Terms & Conditions

Technetic Innovations, Inc. — Wholesale Registration Agreement

By registering for a wholesale account with Technetic Innovations, Inc. (“the Company”), you agree to the following terms and conditions:

1. Definitions

• Dealer: A Dealer purchases products from Technetic Innovations, Inc. for resale directly to end customers through their own physical retail store or showroom. Dealers may not resell products online, on any website, marketplace (including Amazon, eBay, Walmart, or similar), or through social media platforms without the Company’s prior written approval.

• Distributor: A Distributor purchases products in larger quantities for the purpose of reselling to other businesses, such as retailers or dealers. Distributors may not sell directly to end consumers unless specifically authorized in writing by the Company. Distributors may also be subject to minimum purchase requirements as determined by Technetic Innovations, Inc.

2. Sales Channels
Dealers are permitted to sell only through their owned and operated retail locations. Distributors are responsible for ensuring that their downstream buyers comply with all terms of this Agreement. Any unauthorized online or third-party sales will result in immediate termination of wholesale privileges.

3. Pricing, Orders, and Minimums
All wholesale pricing, minimum order quantities, and shipping rates are established by Technetic Innovations, Inc. and are subject to change without prior notice. Distributors may be required to meet minimum order thresholds or maintain periodic purchase volumes to retain wholesale eligibility. Orders are accepted at the Company’s discretion. The "Company" is not responsible for printing errors including pricing and or additional discounts. All wholesale pricing is to be kept confidential by wholesale accout holder. 

4. Returns and Exchanges
All sales are final. Technetic Innovations, Inc. does not accept returns, refunds, or exchanges for unsold, unused, or overstocked merchandise. Damaged or defective products must be reported within seven (7) days of receipt for review and possible replacement at the Company’s discretion.

5. Brand and Marketing Use
Dealers and Distributors agree to accurately represent Technetic Innovations, Inc. products and to use only approved product descriptions, images, and marketing materials. No alteration or rebranding of products, labels, or packaging is permitted without written authorization.

6. Account Termination
Technetic Innovations, Inc. reserves the right to suspend or terminate any wholesale account at any time, inluded but not limited to,  violation of these terms, misuse of branding.

7. Limitation of Liability
Technetic Innovations, Inc. shall not be held liable for any indirect, incidental, consequential, or special damagesarising out of or related to the sale, distribution, use, or performance of its products, including but not limited to loss of profits, business interruption, or reputational harm. The Company’s total liability for any claim shall not exceed the purchase price of the products directly involved in the claim.
All products are sold “as is” without any warranty, express or implied, beyond those required by law. The Dealer or Distributor assumes all responsibility for storage, resale, and compliance with local regulations.

7. Acknowledgment
By submitting the Wholesale Account Registration Form, you acknowledge that you have read, understood, and agree to comply with the Technetic Innovations, Inc. Wholesale Registration Agreement.
